Fox is betting that a $US22 billion acquisition of Roku can rapidly shift its weight in streaming, turning a traditional broadcaster into a top three US TV powerhouse. Roku already connects to more than 100 million households worldwide through its platform. Fox wants that access, and fast.
Under the agreed terms, Fox will acquire Roku for $US160 a share, paying in a mix of cash and Fox Class A common stock. When the transaction closes, existing Fox shareholders are expected to control about 73% of the combined group.
Roku investors will hold the remaining stake, effectively rolling their exposure into a much larger media and tech hybrid. The structure keeps both shareholder bases tied to the same long term streaming bet.
Roku brings a powerful distribution layer that already sits on millions of smart TVs and streaming devices, turning it into a gatekeeper between viewers, content owners and advertisers. Fox brings a deep library of news, sports and entertainment content plus long standing ad relationships and brand recognition across US television.
Together they can sell targeted advertising across a wider footprint, leverage data on viewing habits and negotiate from a stronger position with other platforms and device makers. Analysts point to the global household reach and combined ad business as the levers that could justify the rich takeover price.
Legacy broadcasters are scrambling to secure tech driven distribution as viewers shift permanently to streaming and connected TV. Fox sees Roku as a faster route to scale than building its own hardware and operating system from scratch.
The enlarged company is set to compete more directly with integrated giants that already blend content, devices and ad tech under one roof. For investors and rivals, the key question is how effectively Fox can integrate Roku’s platform culture with its traditional broadcast DNA while keeping innovation moving at platform speed.
